3. Customer Owned Data
All data and documents uploaded by you ("Customer") remain your property (collectively referred to as "Customer Data"). You grant Taxbee Accountancy the right to use, display, and distribute Customer Data for the purpose of performing under this agreement.
4. Customer Responsibilities
As a customer, you agree to:
Keep your passwords secure and confidential.
Be solely responsible for Customer Data and all activity in your account.
Use the Service in accordance with our Knowledge Base and applicable law.
Notify Taxbee Accountancy promptly of any unauthorized access to your account.
5. Service Availability and Interruptions
While Taxbee Accountancy takes reasonable measures to secure the Service, we do not guarantee its invulnerability. Interruptions or errors may occur, and we cannot guarantee uninterrupted service.
6. Confidentiality
Confidential Information includes all non-public information disclosed by either party to the other. Taxbee Accountancy's Confidential Information includes the Service and related materials. Both parties agree to protect and limit access to Confidential Information.
7. Proprietary Property
The software, processes, user interface, and other technologies provided by Taxbee Accountancy are proprietary. You may not sell, modify, reverse engineer, or use them for competitive purposes.
8. Terms and Termination
This agreement remains in effect until terminated. Either party may terminate with 30 days' written notice. Taxbee Accountancy may suspend or terminate the Service for violations.
9. Liability Limit
Taxbee Accountancy is not liable for indirect damages. Our total liability is limited to the amount paid by you within the previous 3 months.
10. Indemnity
You agree to defend and indemnify Taxbee Accountancy against any third-party claims related to your use of the Service.
11. Governing Law
This agreement is governed by the laws of England. Any disputes will be resolved in the courts of England and Wales.
12. Other Terms
This agreement constitutes the entire agreement between the parties.
Neither party may assign this agreement without written consent.
The parties are independent contractors.
Unforeseeable circumstances can excuse performance. Taxbee Accountancy may seek injunctive relief for breaches.
Additional terms on customer forms are rejected.
In case of inconsistency, orders prevail.
Surviving terms include those necessary to assert rights post-termination.
13. Provision of Accountancy Services
Taxbee Accountancy matches you with a qualified regulated accountant ("Accountant") for accountancy and tax services. Taxbee Accountancy is not liable for any defects in service provision by the accountant.
14. Refunds for Inactive Services
If no action is taken on a purchased service for 12 months, it is considered inactive. Taxbee Accountancy reserves the right to reduce or extend the inactivity period. Inactive services are not eligible for refunds but may receive credit.
15. Feedback
By providing feedback to Taxbee Accountancy, you grant us an irrevocable license to use it for any business purpose.
16. Updates
We reserve the right to modify these terms at any time. Material changes will be notified to you.
